These Terms of Service (the “Terms”) form a binding agreement between you and MacroVector Ltd, a company registered in England and Wales with company number 09602791, whose registered office is at Harwood House, 43 Harwood Road, London SW6 4QP, United Kingdom (“MacroFinance”, “MacroVector”, “we”, “us”, “our”). The Terms govern your access to and use of the macrofinance.ai website, dashboards, APIs, downloadable content, AI features, and any other product or service we make available (collectively, the “Service”).
By creating an account, clicking “I agree”, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- “Account” — the account you create to access the Service.
- “Content” — text, data, software, graphics, models, reports, AI outputs, code, designs, and any other material made available through the Service.
- “AI Output” — material generated by our Financial Assistant AI or any other automated/AI feature in response to your inputs.
- “Subscription” — a paid plan (e.g., Plus, Research, Pro, RIA & Wealth, Funds & Asset Managers, Enterprise) that you purchase via Stripe.
- “Free Tier” — any non-paid level of access we may offer.
- “Consumer” — an individual acting wholly or mainly outside their trade, business, craft, or profession (within the meaning of the Consumer Rights Act 2015).
2. Eligibility & Account Registration
2.1 You must be at least 18 years old and have legal capacity to enter into a contract.
2.2 You must provide accurate, current information when registering and keep it up to date.
2.3 You are responsible for safeguarding your credentials and for all activity under your Account. Notify us immediately at [email protected] if you suspect unauthorised use.
2.4 Each Account is for one individual. You may not share Account credentials. For team or seat-based plans, each individual user must have their own Account; sharing or pooling seats is prohibited unless expressly permitted in your Subscription.
2.5 We may refuse, suspend, or terminate any Account at our discretion, including for breach of these Terms, non-payment, abuse, fraud, or for legal or regulatory reasons.
3. Subscriptions, Billing, Renewal, and Cancellation
3.1 Pricing. Subscription prices are displayed on the relevant pricing page and exclude any applicable taxes, which we may add at checkout.
3.2 Payment processor. Payments are processed by Stripe. By subscribing you also agree to Stripe’s terms. We do not store full card numbers.
3.3 Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly, quarterly, or yearly, as applicable) at the then-current price until you cancel.
3.4 Cancellation. You may cancel at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; you retain access until then.
3.5 Consumer 14-day cancellation right. If you are a Consumer, you have the right to cancel your Subscription within 14 days of subscribing without giving any reason. To exercise it, send a clear statement (e.g., by email to [email protected]) within that period. We will refund all amounts paid, without undue delay and in any event within 14 days of receiving your notice. By starting to use the Service within that 14-day period, you expressly acknowledge that, where we have begun supplying digital content and services with your consent, you may lose this cancellation right to the extent the Service has been substantially performed.
3.6 Other refunds. Outside the 14-day right above, Subscription fees are non-refundable except where required by law.
3.7 Failed payments. If a payment fails, we may retry the charge and/or suspend access until paid. We may terminate the Subscription if non-payment continues for more than 14 days.
3.8 Price changes. We may change prices for future billing periods on at least 30 days’ notice by email. If you do not accept the new price, you may cancel before it takes effect.
3.9 Promotions and trials. Promotional pricing or free trials, if offered, apply only as described at the time of offer.
3.10 Taxes. You are responsible for any taxes applicable to your purchase that are not collected by us.
4. Plans, Licence Scope, and Whitelabel Use
4.1 Free Tier. A limited, non-exclusive, non-transferable, personal-use licence to access the Free Tier features.
4.2 Paid individual Subscriptions (Plus, Research, Pro). A limited, non-exclusive, non-transferable licence to use the Service for the licensed user’s own professional or personal research and decision-making. No redistribution.
4.3 Team / Funds plans. Use within the named organisation by the number of seats purchased. No external redistribution.
4.4 RIA & Wealth plans. Where the Subscription includes embedding the AI Financial Assistant on a customer’s own website, you may do so solely for your authenticated end-users, in accordance with any embedding guidelines we provide. You remain responsible for those end-users’ compliance with these Terms and applicable law.
4.5 Enterprise / Whitelabel plans. Scope, redistribution rights, data caps, branding rules, and any service-level commitments are set out in a separate Order Form or Master Subscription Agreement. Where there is a conflict between this section and that Order Form, the Order Form controls.
4.6 Prohibited regardless of plan:
- Resale, sublicensing, or redistribution of the Service or Content except as expressly permitted.
- Scraping, automated extraction, or framing of the Service.
- Use of the Service or Content to train, fine-tune, or evaluate AI or machine-learning models that compete with the Service.
- Reverse-engineering except to the extent permitted by mandatory law.
- Use in any product or service marketed as substantially similar to the Service.
5. Acceptable Use
You will not:
- Violate any applicable law or third-party right.
- Upload or transmit malware, harmful code, or unlawful content.
- Probe, scan, or test the vulnerability of the Service or circumvent any security or access controls.
- Use the Service to send unsolicited commercial communications.
- Use the Service in a way that adversely impacts other users’ access or performance.
6. API Usage
6.1 If your Subscription includes API access, your usage is subject to the rate limits and request caps displayed on your plan page or otherwise communicated to you.
6.2 You will keep API keys confidential and rotate them promptly if compromised.
6.3 API responses are Content for the purposes of these Terms.
6.4 We may throttle or suspend API access without notice to protect the Service.
7. AI Services (Financial Assistant AI)
7.1 The Service includes AI features that generate outputs from your inputs.
7.2 AI Outputs are informational, automatically generated, and may be incomplete, inaccurate, biased, or out-of-date. You must independently verify AI Outputs before relying on them or sharing them with others. Do not treat AI Outputs as investment, legal, tax, accounting, or other professional advice.
7.3 You are solely responsible for AI Outputs you select, present, or distribute (including to your own clients under an RIA, whitelabel, or embedded configuration), and for ensuring those outputs comply with applicable law, including any local financial-services regulation.
7.4 As between you and us, you own your inputs and AI Outputs to the extent permitted by law, subject to our underlying rights in the Service. You grant us a worldwide, non-exclusive licence to process inputs to provide the Service, to maintain logs for security and abuse-prevention, and to improve the Service.
7.5 You will not use AI Outputs to train, fine-tune, or benchmark competing models, or to enable any third party to do so.
7.6 We may set fair-use limits on AI queries per period and adjust them on notice.
8. No Investment, Legal, or Tax Advice
The Service, Content, and AI Outputs are for informational and research purposes only and do not constitute, and must not be relied upon as, investment advice, financial product advice, a recommendation, an offer or solicitation to buy or sell any financial instrument, or legal, tax, or accounting advice. Past performance is not indicative of future results. You are solely responsible for investment decisions. We are not authorised or regulated by the Financial Conduct Authority or any other financial-services regulator, and the Service is not within the scope of the Financial Services Compensation Scheme.
9. Intellectual Property
9.1 The Service, Content, and all underlying intellectual property are owned by MacroVector Ltd or our licensors and are protected by copyright, trademark, and other laws.
9.2 Subject to your compliance with these Terms and payment of applicable fees, we grant you the licence set out in Section 4. All other rights are reserved.
9.3 You may not remove or alter any proprietary notices on the Service.
9.4 Feedback you provide to us is non-confidential, and we may use it without restriction or obligation.
10. User Data & Privacy
10.1 Our processing of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms.
10.2 We rely on third-party processors including (without limitation) Stripe (payments), Google reCAPTCHA (anti-spam), Nextend Social Login / Google (sign-in), our email delivery provider, and ip-api.com (signup geolocation). By using the Service you also agree to their applicable terms.
10.3 Cookies and similar technologies. We use cookies and similar identifiers as described in the Privacy Policy.
11. Third-Party Services and Links
The Service may include links to or integrate third-party content or services. We do not control and are not responsible for them. Your use of them is at your own risk and subject to those third parties’ terms.
12. Service Availability and Changes
12.1 We aim to make the Service available 24/7 but do not guarantee uninterrupted, error-free, or secure operation. Outages may occur for maintenance, upgrades, or events beyond our control.
12.2 We may add, modify, suspend, or discontinue all or part of the Service. Where a change materially reduces a paid Subscription feature, we will provide reasonable advance notice and, where appropriate, a pro-rated refund or credit.
13. Suspension and Termination
13.1 We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law.
13.2 On termination: (a) your right to use the Service ends; (b) any provisions which by their nature should survive (IP, disclaimers, liability caps, indemnity, governing law) will survive; (c) we may delete your Account data after a reasonable grace period, except where retention is required by law.
14. Disclaimers
The Service, Content, and AI Outputs are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or freedom from defects, viruses, or interruption, except for any warranties that cannot be excluded under English law (including, for Consumers, those under the Consumer Rights Act 2015).
15. Limitation of Liability
15.1 To the maximum extent permitted by law, MacroVector Ltd and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Service, even if advised of the possibility.
15.2 Aggregate cap. Our total cumulative liability for any claim arising out of or relating to the Service will not exceed the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.
15.3 Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by English law.
16. Indemnification
You will defend, indemnify, and hold harmless MacroVector Ltd and its affiliates from any third-party claims, losses, and reasonable expenses (including legal fees) arising from (a) your use of the Service in breach of these Terms, (b) your violation of law or third-party rights, (c) AI Outputs you select or distribute, or (d) content you submit.
17. Governing Law and Jurisdiction
17.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by the laws of England and Wales.
17.2 The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, save that we may bring proceedings against you for unpaid fees or IP infringement in any competent court.
18. Changes to These Terms
We may amend these Terms from time to time. If a change is material, we will give you reasonable notice (e.g., by email or in-product banner) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and may cancel any active Subscription.
19. Miscellaneous
- Entire agreement. These Terms (together with the Privacy Policy and any Order Form) are the entire agreement between you and us regarding the Service and supersede any prior or contemporaneous understandings.
- Severability. If any provision is held invalid or unenforceable, the rest will remain in full force; the invalid provision will be modified to the minimum extent needed to make it enforceable.
- No waiver. Our failure to enforce a right is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failure due to events beyond reasonable control (e.g., natural disaster, war, denial-of-service attacks, internet outages, acts of government).
- Notices. We may give notice by email to the address associated with your Account or by posting on the Service. You may notify us at [email protected].
- Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
- Third-party rights. A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
- Export and sanctions. You may not use the Service in violation of UK, EU, US, or other applicable export-control or sanctions laws.
